Terms of Service
Last updated: [date]. This is a working draft, not yet reviewed by counsel — see the notice below before treating it as final.
Requires counsel review before publication. This draft has not been reviewed by a lawyer. Project-specific commercial terms (pricing, delivery, IP assignment) are governed by a signed Master Services Agreement per engagement, not by this page alone — this page covers general website and platform use.
Who these terms cover
These terms govern your use of the menadata.ai website, operated by MenaData LLC, registered in Delaware, United States. Separate, signed agreements (Master Services Agreement, Data Processing Addendum, contributor terms) govern the actual delivery of data services and are not superseded by this page.
Buyers
Submitting the project inquiry form is a request for us to contact you about a potential engagement — it is not itself a binding order. Commercial terms, pricing, delivery timelines, and IP assignment for any specific project are set out in a signed Master Services Agreement and project statement of work.
Contributors
Applying to become a contributor does not guarantee task assignments. Accepted contributors work under project-specific task agreements that set out payment terms, licensing of submitted work, and conduct expectations for that project. [Counsel to confirm whether a standing contributor terms-of-service document should sit alongside per-project agreements.]
Acceptable use
You agree not to submit false information through our forms, attempt to disrupt or gain unauthorized access to our systems, or use the site for any unlawful purpose.
Intellectual property in this site
The MenaData name, logo, and website content are our property or used with permission. This does not affect IP terms for data delivered under a signed project agreement, which are governed by that agreement specifically.
Limitation of liability
[Standard limitation-of-liability language pending counsel drafting specific to our jurisdiction and risk posture — not filled in with placeholder legal boilerplate here deliberately, since inaccurate liability language is worse than none.]
Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
